You retain all rights to the content you create using our platform, including your invoices, client data, and business information. By using our service, you grant us a limited license to store, display, and transmit your content as necessary to provide our services.

To the maximum extent permitted by law, invooice. and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, or business interruption, arising from your use or inability to use the service.
10. Banking Transactions and Legal Limitations of Invoices
invooice. is a tool for creating and managing invoices. We are not a financial institution, payment processor, or party to any transaction between you and your clients. invooice. bears no responsibility for any disputes, errors, delays, or issues arising from banking transactions, payments, or financial dealings between you and your recipients.
Invoices generated through invooice. are editable documents that can be modified by the user at any time before or after a transaction. As such, invoices created on this platform do not constitute legally binding financial records and should not be submitted as evidence or filed as official documents in any court of law, legal proceeding, or regulatory filing. Users acknowledge that the modifiable nature of these documents means they cannot serve as certified proof of a transaction.
You are solely responsible for ensuring the accuracy, completeness, and legal compliance of the invoices you create and send. invooice. does not verify, validate, or guarantee the contents of any invoice generated on the platform. We strongly recommend that users maintain independent, tamper-proof records for any transactions that may require legal documentation.
11. Tax Compliance Disclaimer
invooice. is not an accounting firm, tax advisor, or legal service provider. The platform does not provide tax, financial, or legal advice of any kind. All tax-related fields available in the platform, including but not limited to VAT rates, tax identification numbers, tax exemption codes, and EORI or permit numbers, are provided as convenience inputs and are populated entirely by the user.
invooice. does not verify, calculate, validate, or guarantee the accuracy of any tax amounts, rates, or identifiers entered by users. We do not determine whether your invoices comply with the tax laws, regulations, or reporting requirements of any jurisdiction.
You are solely responsible for ensuring that your invoices meet all applicable tax and regulatory requirements in your jurisdiction and in the jurisdictions of your clients. This includes, but is not limited to, correct application of VAT, GST, sales tax, withholding tax, and any other applicable duties or levies. We strongly recommend consulting a qualified tax professional or accountant to ensure compliance with all relevant tax obligations.
12. Email Sending and Communications
invooice. allows users to send invoices and related communications via email directly from the platform. By using this feature, you acknowledge and agree to the following:
You have obtained proper consent from all recipients before sending them any email through invooice.
You are solely responsible for the content of all emails sent through the platform, including the email body, subject line, attachments, and any invoice details included
You will not use the email feature to send unsolicited messages, spam, or any content that violates applicable anti-spam legislation such as CAN-SPAM, GDPR, or equivalent local regulations
You will not use the email feature to send fraudulent, misleading, defamatory, or otherwise harmful content
invooice. is not responsible for email delivery failures, delays, bounced messages, or emails that are filtered as spam by recipient email providers. We do not monitor, review, or approve the content of emails sent through the platform. Any disputes arising from emails sent via invooice. are solely between the sender and the recipient.
We reserve the right to suspend or revoke email sending privileges for any account that we reasonably believe is being used to send spam, fraudulent content, or communications that violate these terms or applicable law.
13. Collaborative Access and Shared Models
invooice. allows users to share invoice models with other users through a collaborative access system. When you share a model or grant access to other users, you acknowledge and agree to the following:
As the creator of a model, you are solely responsible for managing who has access to it, including approving or denying access requests and removing collaborators
You understand that users you grant access to will be able to view and use the shared model data to generate invoices
You are responsible for ensuring that any data shared through collaborative models does not violate the privacy rights of third parties
Collaborators act independently and invooice. is not liable for any actions taken by users you have granted access to, including the creation of inaccurate or fraudulent invoices using your shared models
invooice. does not verify the identity or intentions of users requesting access to shared models. We provide the collaboration tools but assume no responsibility for how collaborators use the data they are given access to. If a collaborator misuses shared data, the matter is between the involved parties and does not involve invooice.
14. Third-Party Services
invooice. integrates with and relies upon third-party services to provide certain features of the platform. These services include, but are not limited to, payment processing, authentication, cloud hosting, and email delivery infrastructure.
By using invooice., you acknowledge that:
Third-party services are governed by their own terms of service and privacy policies, which you are responsible for reviewing and accepting independently
invooice. is not responsible for the availability, accuracy, security, or performance of any third-party service
Outages, errors, data breaches, or policy changes by third-party providers are beyond our control and invooice. shall not be held liable for any resulting disruption or loss
Payment processing is handled entirely by our third-party payment provider, and invooice. does not store, process, or have access to your full credit card or banking details
We may add, modify, or remove third-party integrations at any time. Continued use of the platform following any such changes constitutes acceptance of the updated configuration.
15. Force Majeure
invooice. shall not be held liable for any failure or delay in performing its obligations under these terms where such failure or delay results from circumstances beyond our reasonable control. Such circumstances include, but are not limited to:
Natural disasters, epidemics, pandemics, or acts of God
War, terrorism, civil unrest, or government actions
Internet or telecommunications outages, cyberattacks, or distributed denial-of-service attacks
Failures or outages of third-party service providers, including hosting, payment processing, and email delivery infrastructure
Power outages, hardware failures, or software defects beyond our reasonable control
Changes in law, regulation, or government orders that affect the operation of the service
In the event of a force majeure occurrence, our obligations under these terms will be suspended for the duration of the event. We will make reasonable efforts to resume normal service as soon as practicable and to notify affected users of any significant service disruptions.
16. Indemnification
You agree to indemnify, defend, and hold harmless invooice. and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your use of the service, violation of these terms, or infringement of any third-party rights.
17. Governing Law and Dispute Resolution
These Terms and Conditions are governed by and construed in accordance with the laws of the jurisdiction in which invooice. operates, without regard to conflict of law principles.
Any disputes arising from these terms or your use of invooice. shall be resolved through binding arbitration, except where prohibited by law. You agree to waive any right to a jury trial or to participate in a class action lawsuit.
18. General Provisions
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of such right or provision.
These terms constitute the entire agreement between you and invooice. regarding your use of the service and supersede any prior agreements. No waiver, modification, or amendment of these terms will be effective unless in writing and signed by both parties.
